1. Agreement
These Terms of Service ("Terms") are a contract between you and Merak Keystone Corp., a Delaware corporation ("Merak", "we", "us"). They govern your use of the Merak application, the getmerak.com website, and related services (together, the "Service").
You accept these Terms by creating an account, by clicking to agree, or by using the Service. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. Eligibility
You must be at least 18 years old to use the Service. The Service is a business tool and is not directed at children.
3. The Service
Merak connects to work tools you choose (for example code hosting, issue tracking, messaging, and monitoring services) and uses AI agents to help you define, measure, and maintain goals, signals, and tasks for your work.
The Service is in an early-access (beta) stage. Features can change, break, or be removed. Access is currently invite-gated. We do not promise any particular availability, uptime, or support response during beta.
4. Your account
You agree to provide accurate account information and keep it current. You are responsible for keeping your credentials secure and for all activity under your account. Tell us promptly at security@getmerak.com if you suspect unauthorized access.
5. Your content
"Customer Content" means the data you or your organization submit to the Service or authorize the Service to access. This includes goals, signals, tasks, chat messages, uploaded files, and data retrieved from services you connect.
You own your Customer Content. You grant Merak a worldwide, non-exclusive license to host, store, process, transmit, and display Customer Content as needed to provide, secure, and support the Service. This license ends when the content is deleted from the Service, subject to the retention practices described in our Privacy Policy.
You are responsible for your Customer Content, including having the rights and permissions needed to submit it and to connect third-party services that contain it.
6. Connected services and credentials
The Service lets you connect third-party accounts and provide credentials (for example OAuth grants or API keys). By connecting a service, you authorize Merak to access it on your behalf within the scope you grant.
Your agreement with each third-party provider governs that provider's service. We recommend granting the narrowest access that works for your use. You can revoke connections at any time in the product or with the provider. You are responsible for credentials you supply and for charges that third parties bill to accounts you connect.
7. AI features
The Service uses artificial-intelligence models to generate content and to take actions you configure.
- AI output is machine-generated. It can be inaccurate, incomplete, or misleading. You are responsible for reviewing output before you rely on it or act on it.
- Content you submit and relevant workspace context are sent to third-party model providers to generate responses. Our current providers are listed in our Privacy Policy. If you configure your own model provider or supply your own API key, your agreement with that provider governs those calls and any charges.
- Agent workflows can take actions on connected services, such as opening pull requests, within the permissions and settings you configure. You are responsible for reviewing those permissions and the actions taken under them.
- The Service and its output are not professional advice.
8. Acceptable use
Our Acceptable Use Policy at getmerak.com/acceptable-use is part of these Terms. In short: do not use the Service to break the law, attack systems, infringe rights, or endanger the Service or other customers.
9. Fees
The Service is currently offered without charge during beta. We will give notice, and updated terms, before we introduce paid plans. Billing, renewal, and cancellation terms will be added when subscriptions launch.
10. Intellectual property
Merak owns the Service, including its software, design, and branding. These Terms do not transfer any Merak intellectual property to you. If you send us feedback or suggestions, we may use them without obligation to you.
11. Third-party services
The Service interoperates with third-party services you choose to connect. We do not control those services and are not responsible for them.
12. Termination
You can stop using the Service at any time. Deletion controls for your data are described in the Privacy Policy, including personal workspace erasure and company workspace deletion by a company owner.
We may suspend or terminate your access if you materially breach these Terms, if we must do so to protect the Service, other customers, or third parties, or if we discontinue the Service. Where practical, we will give notice.
Sections that by their nature should survive termination do survive, including Sections 5 (license ends per its terms), 10, 13, 14, 15, and 16.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, MERAK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) MERAK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) MERAK'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS (USD 100) OR THE AMOUNTS YOU PAID MERAK FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
15. Indemnification
You will defend and indemnify Merak against third-party claims arising from your Customer Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Courts located in Delaware have exclusive jurisdiction over disputes relating to these Terms or the Service, and both parties consent to venue there.
17. Changes to these Terms
We may update these Terms. For material changes we will ask you to accept the new version in the app, and the version and effective date at the top of this page will change. Continued use of the Service after a change takes effect means you accept the updated Terms.
18. General
These Terms, the Acceptable Use Policy, and the Privacy Policy are the entire agreement between you and Merak about the Service. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. A failure to enforce a provision is not a waiver.
